Cession en 2025 d’une entité héritée portant l’essentiel des contentieux amiante

Civil / administrative proceedings

Avant une cession conclue le 11 décembre 2025, Flowserve faisait encore face à un volume important de réclamations amiante liées à des produits de sociétés historiques de son patrimoine industriel. Son rapport annuel 2025 indique 8 127 réclamations au début de l’exercice, 2 224 nouvelles et 3 244 résolues. Flowserve a vendu BW/IP-New Mexico à une entité affiliée à Oaktree et indique avoir transféré 7 101 réclamations ainsi que les actifs/passifs correspondants, avec indemnisation complète du groupe.

Règlement SEC/DOJ lié au programme Oil-for-Food et à des paiements de kickbacks

Case dismissed / dropped

La SEC a accusé deux filiales de Flowserve d’avoir versé ou autorisé des kickbacks dans le cadre de contrats du programme Oil-for-Food en Irak entre 2001 et 2003. En 2008, Flowserve a accepté des règlements avec la SEC et le DOJ représentant au total plus de 6,5 millions USD de pénalités, disgorgement et intérêts.

Une inspection OSHA du site Flowserve à Dayton, Ohio, ouverte en 2006, avait initialement conduit à six violations sérieuses. Après règlement, quatre violations restaient et la pénalité totale avait été réduite de 10 875 USD à 4 000 USD.

Flowserve a annoncé en 2004 puis confirmé en 2005 un retraitement de ses états financiers couvrant 2000 à 2002, les neuf premiers mois de 2003 et finalement le premier trimestre 2004.     Projet de fusion avec Chart Industries abandonné après offre supérieure de Baker Hughes

    Flowserve et Chart Industries ont annoncé en juin 2025 une fusion entièrement en actions. Le 29 juillet 2025, le conseil de Chart a accepté une offre supérieure de Baker Hughes et l’accord Flowserve-Chart a été résilié; Flowserve devait recevoir une indemnité de résiliation de 266 millions USD.
